1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Feature1 AI-powered software development lifecycle platform, including the web application at feature1.ai, tenant subdomains, the Model Context Protocol (MCP) endpoint, and any related APIs, integrations, and services (collectively, the "Service").
These Terms form a binding agreement between you (the "Customer", "you") and Ma-anah Corp, a sole proprietorship registered in Tamil Nadu, India (GSTIN: 33BPWPA1564F2ZY), with principal place of business at 18, Radhakrishnan Nagar Main Road, Thiruvanmiyur, Chennai, Tamil Nadu 600041, India ("Feature1", "we", "us", "our").
By creating an account, installing the Service from a marketplace (including GitHub Marketplace), or otherwise accessing or using the Service, you accept these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.
If you do not agree to these Terms, do not access or use the Service.
2. Definitions
- Customer Content: Any data, code, repository metadata, feature descriptions, user stories, acceptance criteria, prompts, designs, and other material you submit to or generate through the Service.
- AI Output: Suggestions, drafts, code, documents, or other artifacts generated by the Service using third-party AI models in response to your inputs.
- Tenant: An isolated workspace provisioned for you, identified by a subdomain of feature1.ai.
- Third-Party Services: External products and APIs the Service integrates with, including AI model providers (Anthropic, OpenAI), hosting providers, GitHub, Cloudflare, Postmark, and analytics services.
- MCP: Model Context Protocol — the open protocol Feature1 uses to deliver per-acceptance-criterion context to AI coding agents running in your engineers' editors.
3. Eligibility and Account Registration
To use the Service you must be at least 18 years old and capable of forming a binding contract in your jurisdiction. You agree to provide accurate, current, and complete information during registration and to keep it up to date.
You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
4. License to Use the Service
Subject to your compliance with these Terms and payment of any applicable fees, Feature1 grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Service for your internal business or personal use during the term of your subscription.
The Service is licensed, not sold. We reserve all rights not expressly granted in these Terms.
5. Customer Content and Code Ownership
You retain all rights, title, and interest in and to your Customer Content, including any code, repository contents, designs, and documentation you submit to the Service. Feature1 claims no ownership over your Customer Content or over any code your engineers write using AI Output as a reference.
You grant Feature1 a worldwide, non-exclusive, royalty-free license to host, store, transmit, process, display, and create derivative works of your Customer Content solely as necessary to provide, maintain, and improve the Service for you. This license terminates when your Customer Content is deleted from the Service, except where retention is required by law.
You represent and warrant that you have the rights necessary to submit Customer Content to the Service and that your submission and our processing of it does not violate any third-party rights or applicable law.
6. AI-Generated Content
The Service uses third-party AI models (currently Anthropic Claude and OpenAI, including via the Codex CLI) to generate AI Output in response to your inputs. AI Output is non-deterministic and may contain errors, omissions, factual inaccuracies, insecure code patterns, license-incompatible suggestions, or content that does not match your intent.
You are solely responsible for reviewing, validating, testing, and verifying all AI Output before relying on it, merging it, deploying it, or using it in production. Feature1 makes no representation or warranty that AI Output is accurate, complete, secure, fit for any particular purpose, or free from infringement of third-party intellectual property rights.
To the extent permitted by applicable law and the underlying provider's terms, you own the AI Output produced from your inputs. You agree not to use AI Output to develop a product or service that competes with Feature1, or to train a machine learning model that competes with the AI providers we use.
We do not train Feature1's own AI models on your Customer Content. The third-party AI providers we use are configured to opt out of model training under each provider's standard API terms. Provider-side request logs are retained per each vendor's default retention policy.
7. Acceptable Use
You agree that you will not, and will not permit any user of your account to:
- Use the Service to violate any applicable law, regulation, or third-party right;
- Submit Customer Content that infringes intellectual property, privacy, publicity, or other rights of any third party;
- Submit Customer Content containing malicious code, viruses, worms, ransomware, or other harmful material;
- Attempt to reverse engineer, decompile, disassemble, or derive the source code of any part of the Service except to the extent applicable law expressly prohibits this restriction;
- Use the Service to develop a competing AI software development product or to benchmark against Feature1 without our written consent;
- Resell, sublicense, rent, lease, or otherwise commercially exploit the Service;
- Bypass, circumvent, or attempt to bypass any access controls, rate limits, usage quotas, or tenant boundaries of the Service;
- Use the Service to generate content that is unlawful, defamatory, harassing, hateful, sexually explicit, or that depicts minors in any harmful manner;
- Scrape, crawl, or use automated means to extract data from the Service other than through the documented APIs;
- Submit prompts or Customer Content designed to manipulate the AI to produce harmful, illegal, or rights-infringing output ("prompt injection" or jailbreaking) directed at third parties.
We reserve the right to investigate violations and to suspend or terminate access for any user or account engaged in conduct we reasonably determine to be in breach of these Terms.
8. Subscriptions, Pricing, and Payment
The Service is offered under tiered subscription plans. Plan features, limits, and pricing are described on our pricing page and, where applicable, on the GitHub Marketplace listing. Free plans are offered subject to fair-use limits and may be modified or discontinued with reasonable notice.
For paid plans:
- Subscriptions renew automatically for successive periods of the same length unless cancelled before the renewal date.
- Fees are billed in advance through the channel of purchase (GitHub Marketplace, direct billing, or a third-party payment processor).
- All fees are exclusive of applicable taxes (including GST in India) unless stated otherwise.
- Except where required by law, paid fees are non-refundable. We may, at our discretion, offer pro-rated credits for unused service periods.
- Cancellation takes effect at the end of the current billing period; you retain access until then.
We may change pricing for paid plans with at least 30 days' notice before the change takes effect at your next renewal.
9. Service Availability and Changes
We aim to keep the Service available continuously but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to scheduled maintenance, third-party provider outages (AI providers, hosting, DNS), or unforeseen technical issues.
We may add, modify, or remove features of the Service at any time. Material changes that reduce functionality of a paid plan will be communicated with reasonable notice.
10. Intellectual Property
The Service, including all software, designs, text, graphics, the Feature1 name and logo, and the structure, organization, and arrangement thereof, is owned by Ma-anah Corp and protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction and without compensation to you.
11. Third-Party Services and Integrations
The Service integrates with Third-Party Services including but not limited to: Anthropic (Claude AI models), OpenAI (GPT models via Codex), GitHub (OAuth and repository access), Akamai (managed PostgreSQL hosting), Cloudflare (CDN and DNS), Postmark (transactional email), and analytics services described in our Privacy Policy.
Your use of any Third-Party Service is governed by that provider's own terms and privacy policy. Feature1 is not responsible for the availability, content, accuracy, or practices of Third-Party Services. We may add, remove, or substitute Third-Party Service providers as the Service evolves.
12. Confidentiality
Each party may disclose Confidential Information to the other in connection with the Service. The receiving party will use the same degree of care to protect Confidential Information as it uses for its own confidential information of like kind (but no less than reasonable care), use it only to perform under these Terms, and not disclose it except to its personnel and advisors who have a need to know and are bound by confidentiality obligations.
Customer Content is your Confidential Information. The structure and non-public features of the Service are our Confidential Information.
13. Disclaimers
THE SERVICE AND AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. To the maximum extent permitted by applicable law, Feature1 disclaims all warranties, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and quiet enjoyment.
We do not warrant that the Service will be uninterrupted, error-free, secure, free of harmful components, or that any errors will be corrected. We do not warrant that AI Output will be accurate, complete, suitable for any purpose, or free from third-party rights infringement.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FEATURE1 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our aggregate liability for all claims arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid to Feature1 for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).
The limitations in this section apply regardless of the form of action (contract, tort, statute, or otherwise) and survive any failure of essential purpose of any limited remedy.
15. Indemnification
You agree to defend, indemnify, and hold harmless Feature1, Ma-anah Corp, and its proprietor, employees, contractors, and agents from and against any third-party claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) your violation of any third-party right; or (d) any AI Output that you incorporate into your products, services, or repositories.
We will promptly notify you of any such claim, give you sole control of the defence and settlement (provided no settlement may be made without our prior written consent if it imposes any obligation on us), and provide reasonable cooperation at your expense.
16. Termination
You may terminate your account at any time by following the cancellation flow in the Service or by contacting [email protected].
We may suspend or terminate your access to the Service, in whole or in part, immediately and without notice if: (a) you materially breach these Terms; (b) we are required to do so by law; (c) continued provision of the Service to you would impose material risk on us or other customers; or (d) you fail to pay fees when due and do not cure within 14 days of notice.
On termination, your right to use the Service ends. We will, on request and where technically feasible, provide a reasonable period for you to export your Customer Content. After 30 days from termination, Customer Content and tenant data (including repository clones on tenant hosts) will be deleted, except where retention is required by law.
Sections 5, 6, 10, 12, 13, 14, 15, 17, 19, and 20 survive termination.
17. Data Protection and Privacy
Our collection, use, and disclosure of personal data in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference.
Where we process personal data on your behalf (for example, end-user data within your Customer Content), we do so as your data processor for the purpose of providing the Service. You are responsible for ensuring you have a lawful basis to provide such data to us.
18. Changes to These Terms
We may modify these Terms from time to time. We will post the updated Terms with a new "Last updated" date and, for material changes, provide at least 30 days' notice before they take effect (by email to your account address, in-product banner, or both).
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of those Terms. If you do not agree, you must stop using the Service before the effective date.
19. Governing Law and Jurisdiction
These Terms and any dispute arising out of or related to them or the Service are governed by the laws of India, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to Section 20, the courts of Chennai, Tamil Nadu, India have exclusive jurisdiction to hear and decide any dispute, and you submit to the personal jurisdiction of those courts.
20. Dispute Resolution
Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute by direct negotiation, beginning with written notice from the complaining party to [email protected] describing the dispute and the relief sought. If the dispute is not resolved within 30 days of such notice, either party may pursue any remedy available under these Terms and applicable law.
21. Miscellaneous
- Entire agreement: These Terms (together with the Privacy Policy and any plan-specific terms referenced from your subscription) constitute the entire agreement between you and Feature1 regarding the Service and supersede all prior agreements on the subject matter.
- Severability: If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver: Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
- Force majeure: Neither party is liable for delays or failures in performance caused by events beyond reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, governmental action, labour disputes, internet or telecommunications outages, or third-party provider failures.
- Independent contractors: The parties are independent contractors. These Terms do not create a partnership, joint venture, agency, or employment relationship.
- Notices: Notices to Feature1 must be sent to [email protected]. Notices to you may be sent to the email address on your account.
